This Offer is made by BUYSALE LLC (the Operator), represented by Direktor Abdullayev Akbar Alisherovich, to any person carrying on business activity (clause 2.4) who wishes to use the BuySale shop accounting program. Under articles 367 and 369 of the Civil Code of the Republic of Uzbekistan (the Civil Code) it is a public offer. The BuySale program is not cash register equipment, does not generate fiscal receipts and is not connected to the information systems of the tax authorities.
The Offer can only be accepted as a whole. Acceptance of the Offer is equivalent to concluding a written contract on its terms (Civil Code, article 366, parts four and five; article 15 of the Law of the Republic of Uzbekistan “On Electronic Commerce” (the Law on Electronic Commerce)).
1. Definitions
1.1. Offer means this document. Contract means the contract between the Operator and the User concluded as a result of Acceptance of the Offer; its components are listed in clause 2.5. Operator means BUYSALE LLC.
1.2. User means the shop owner who has opened an Account and accepted the Offer: a legal entity, an individual entrepreneur or a self-employed person (clause 2.4). Employee means a person whom the User has added to the Account and who logs in with a PIN code. Customer means a buyer of the shop, including a person who has bought on credit. Employees and Customers are not parties to the Contract.
1.3. Service means the BuySale program and its related features. App means the program at https://app.buysale.uz, its installable version and its version inside Telegram. Bot means the BuySale bot in Telegram. Account (cabinet) means the personal cabinet linked to the User’s phone number in which the shop’s data and the Balance are kept.
1.4. Balance means the prepaid funds remaining in the Account (in soum). Daily Fee means the fee for the Service for one calendar day (Tashkent time). Trial Period means the 14 calendar days during which no Daily Fee is charged for a new Account; the day the Account is opened counts as the first day; AI fees are still charged during this period under clause 5.8. Arrears (negative balance) means the negative amount of the Balance when it is below zero; for example, if the Balance is −5,000 soum, the Arrears are 5,000 soum.
1.5. Acceptance means full and unconditional acceptance of the Offer in the manner set out in clause 2.2. AI Assistant means the artificial intelligence assistant in the Service (section 10). Privacy Policy means the document published at https://buysale.uz/en/maxfiylik/.
1.6. Main shop means the shop the User opened with a phone number under clause 4.1. Branch means an additional shop the User opens in the App from the main shop’s Account under clause 4.5. Branches are part of the main shop’s Account and are not separate Accounts: there is one User and one Balance. Stock transfer means sending goods between the main shop and branches through the App (clause 3.8).
2. General provisions
2.1. The Contract is a contract of adhesion within the meaning of article 360 of the Civil Code. A reply agreeing to conclude the Contract on other terms is not Acceptance (Civil Code, article 375).
2.2. Acceptance is whichever of the following actions is performed first: 1) in the App window that shows links to the Offer and the Privacy Policy, personally ticking the box confirming agreement with them (“I have read the public offer and privacy policy and agree to the terms”, or the same text in the selected App language) and pressing the “Confirm and continue” button (or the same button in the selected App language); 2) topping up the Balance (Civil Code, article 370, part four). The Contract is deemed concluded at the moment of Acceptance.
2.3. Only the User can accept the Offer; Employees cannot accept it and cannot use the App until the version of the Offer in force has been accepted. The App shows the acceptance window at the first login to the Account and when a new version of the Offer is published (clause 14.3). As evidence of Acceptance the Operator keeps: the shop, phone number, Offer version, language shown, text fingerprint (SHA-256), unique acceptance number, IP address, device and browser information, and the acceptance channel and time.
2.4. Only a person lawfully carrying on business activity may accept the Offer: a legal entity (through an authorised representative), an individual entrepreneur or a self-employed person. The person accepting guarantees that it has such status and uses the Service for business activity. A representative of a legal entity provides a document confirming its authority at the Operator’s request.
2.5. The Offer, the Privacy Policy and the prices published on the page https://buysale.uz/narxlar/ together form a single Contract. On personal data matters, if the Offer and the Privacy Policy differ, the Privacy Policy applies, but it does not permit any transfer of data beyond what is stated in clauses 9.2 and 9.4. Current version of the Offer: https://buysale.uz/en/oferta/.
2.6. The parties recognise actions performed from the Account after logging in with a one-time code sent by the Bot or through the Telegram account linked to the Account (Acceptance, sending a request to top up the Balance, applications and others) as the User’s electronic confirmation, and actions performed by an Employee after logging in with the Employee’s PIN code as actions performed on behalf of the User (Law on Electronic Commerce, articles 14 and 21).
2.7. If a notice withdrawing Acceptance reaches the Operator before or at the same time as the Acceptance, the Acceptance is deemed not received (Civil Code, article 371); after the Acceptance has been received, the User terminates the Contract under clause 13.1. The terms of the Offer are not changed or supplemented through negotiation; an individual Daily Fee for a User may be set only by a written (electronic) agreement with the Operator.
2.8. The User’s details are the phone number, shop name and shop address in the Account. At the Operator’s request, the User provides its name (for an individual, surname, first name and patronymic), taxpayer identification number (STIR), postal address, e-mail address and bank details.
3. Subject of the Contract
3.1. The Operator gives the User access to the Service over the internet for a fee, and the User pays under section 5. The Service includes: cash register and returns, stock, the Customers’ credit ledger, suppliers, expenses, Employees and their permissions, Employee performance indicators (KPI), branches and stock transfers, in-App notifications, reports and export, barcode scanning, label and receipt printing, the AI Assistant and the Bot. Features vary by shop type and permissions.
3.2. The Service is provided “as is”; uninterrupted and error-free operation and compatibility with every printer or scanner are not guaranteed. The Service does not work without an internet connection. The User provides the internet connection, device, Telegram account and printer at the User’s own expense.
3.3. The Service is not cash register equipment or a virtual cash register and does not generate fiscal receipts; a receipt printed through the App is not a fiscal document.
3.4. As of the effective date of this version, the Service does not send SMS or make phone calls. The debt reminder settings in the App do not send reminders through any channel, including Telegram; a reminder is only written to a log, and no fee is charged for it. A Customer connected to the Bot receives through Telegram only sale receipts, confirmation of connection to the Bot and, at the Customer’s request, information about the Customer’s purchases and debt. The Service sends no messages to a Customer who is not connected to the Bot.
3.5. The Operator may change the Service or discontinue some of its features. Discontinuing or substantially worsening the core features (sales, stock, credit ledger, reports) is a material change under section 14.
3.6. The barcode, product name and unit of measure entered by the User may be added to the shared product catalogue and shown to other Users as a suggestion; price, stock and shop information are not shown. These entries remain in the catalogue after the Account is deleted. Rights to the program remain with the Operator or other right holders. Data entered by the User belong to the User, subject to the use provided for in this clause and clause 3.7.
3.7. For the term of the Contract the Operator grants the User a simple (non-exclusive), non-transferable right to use the Service for its intended purpose (giving Employees access to the Account is not a transfer to another person). The User grants the Operator the right to use the data the User enters only to provide the Service, and to use the barcode, product name and unit of measure referred to in clause 3.6 in the shared catalogue without time limit and free of charge.
3.8. In a stock transfer the goods sent leave the sending shop’s stock at once and, until the receiving shop accepts or rejects them in the App, are not counted in the stock of any shop. The quantity accepted is added to the receiving shop’s stock; any difference between the quantity sent and the quantity accepted is recorded as a shortage and is not returned to the sending shop. A quantity greater than the quantity sent cannot be accepted through a transfer. Goods in a transfer that is rejected, or cancelled before acceptance, are returned to the sending shop’s stock. The User is responsible for counting, sending, transporting, storing and receiving the goods and for the quantities entered in a transfer matching the actual situation. The App does not produce a waybill or any other primary accounting document for a transfer; where such documents are required, the User prepares them.
3.9. The App calculates Employees’ sales performance indicators (KPI) and shows a bonus amount based on the monthly plan and bonus terms set by the User. These figures are a calculation made from the Account’s records for information only: they are not a payroll calculation or an accounting or tax document and do not replace any arrangement between the User and an Employee; the Service makes no payments and records no expenses on the basis of them. The User is responsible for employment relations with Employees and for setting, calculating, paying and taxing wages and bonuses. The indicators depend on the data entered by the User and Employees: if those data are wrong, the indicators will be wrong too. Employees’ indicators, plans and bonus terms are Employees’ data and are processed under section 9.
3.10. The list of notifications in the App is shown for information only, based on the Account’s existing records (Balance movements, stock transfers, Employee logins, shifts closed with a difference). It is not sent as SMS or push messages and is not a notice under clause 11.3. Balance movements are also shown in the App’s Balance section; if they differ, the Balance section prevails.
4. Account and security
4.1. The Account is opened at the first login: the phone number and a one-time code sent by the Bot are entered. The code is sent only to the Telegram account that shared exactly this phone number with the Bot; a Telegram account is therefore required to use the Service. When the App is opened inside Telegram, login takes place through the Telegram account linked to the Account without a code; the User is therefore responsible for the security of that Telegram account. The Operator changes the login phone number at the User’s request after checking that the Account belongs to the User.
4.2. The User gives an Employee a name, a 4-digit PIN code and permissions. An Employee logs in with the Account phone number and the Employee’s own PIN code. If the User is connected to the Bot, the User receives Telegram notices when an Employee logs in to the App (unless these notices are turned off in the settings; no notice is sent for a repeat login within 30 minutes) and when login is blocked after several wrong PIN entries. A daily financial report is also sent to Telegram in the evening by default and can be turned off in the settings.
4.3. The User is responsible for all actions performed through the Account, including actions of Employees. The User keeps one-time codes and PIN codes secret and removes Employees who have left from the App. If unauthorised access is suspected, the User changes the PIN codes and informs the Operator through the channels in clause 11.2.
4.4. If there is reasonable suspicion of unauthorised access or unlawful use, a risk of harm to the Operator, the User or third parties, or a lawful demand of a state authority, the Operator may temporarily restrict the Account. The reason for the restriction is communicated in the manner set out in clause 11.3. If the restriction is unjustified or not caused by the User’s fault, no Daily Fee is charged for the days of restriction, and any fee already charged is returned to the Balance.
4.5. The User may open a branch in the App from the main shop’s Account, close it and reopen it; the Operator may set a limit on the number of open branches, and the App says so when the limit is reached; a branch cannot be opened or reopened while the Service is suspended (clause 5.6). Only the User, and not an Employee, may open, close and reopen branches and switch between them; an Employee works only in the shop (the main shop or a branch) to which the Employee was added. A branch Employee logs in with the main shop’s phone number and the Employee’s own PIN code; PIN codes must not repeat among the Employees of the main shop and all branches. Notices of branch Employees’ logins and the daily financial report (for the main shop, each branch and in total) are sent to the Telegram account linked to the main shop’s Account; the Bot (debt entries and AI Assistant questions) works only with the main shop’s data. Nobody, including the User, can log in to a closed branch; its data are kept and become available again when the branch is reopened. A branch with unconfirmed stock transfers cannot be closed. A branch is deleted completely at the User’s request sent through the channels in clause 11.2, in the manner set out in clause 13.2; the Account of a main shop that has branches is deleted after its branches are deleted. An Account that was opened separately cannot be turned into a branch.
4.6. No separate Balance is kept for branches: the Daily Fee for branches and AI fees (clause 5.8) are charged to the main shop’s Balance, the Balance can be topped up only from the main shop (not from a branch), and section 6 applies to the main shop’s Balance. The Daily Fee for each open branch (the branch price) is published on the page https://buysale.uz/narxlar/ and shown in the App before a branch is opened; under a written (electronic) agreement with the Operator (clause 2.7) a different price, or no fee, may be set for a particular branch. The branch price is charged from the day after the branch is opened, together with the main shop’s Daily Fee and in the manner set out in clause 5.4; unless an agreement provides otherwise, the branch price is charged even if the main shop’s Daily Fee is reduced or waived. During the main shop’s Trial Period and gift days no Daily Fee is charged for branches either; a branch has no Trial Period of its own. No branch price is charged from the day after the branch is closed, or for the days on which the Operator has restricted the branch (clause 4.4). If, when a closed branch is reopened, the Daily Fee for that day has already been charged to the main shop’s Balance, that day’s branch price is charged at the time of reopening (no additional fee if the branch was closed on the same day); the App shows this amount before reopening. An increase in the branch price is announced under clause 5.9. When the Service is suspended under clause 5.6, it is suspended in the main shop and in all branches at the same time.
5. Prices and payment
5.1. The fee for the Service is charged as a Daily Fee; there are no tariff plans (packages) and no monthly subscription. The Daily Fee depends on the shop type and is published only in soum on the page https://buysale.uz/narxlar/ and in the App. Under a written (electronic) agreement with the Operator (clause 2.7) or the terms of a promotion announced by the Operator, the Daily Fee may be reduced or waived. If the selected shop type does not match the User’s actual business, the Operator may change the shop type after notifying the User in advance in the manner set out in clause 11.3. The Daily Fee for branches is charged under clause 4.6.
5.2. No Daily Fee is charged during the Trial Period. When the Trial Period ends, the Service either continues to work using the funds on the Balance or is suspended under clause 5.6. Changing the shop type does not restart the Trial Period.
5.3. The Balance is topped up on the Rahmat payment page opened through the App (the Rahmat Page); while payment through the Rahmat Page is not available, clause 5.13 applies. The Rahmat Page is operated by the payment organisation Multicard Payment JSC (the Payment Organisation). The User enters the top-up amount in the App and pays it on the Rahmat Page; the Payment Commission under clause 5.11 is added to the top-up amount. As of the effective date of this version, payment on the Rahmat Page can be made with Uzcard and Humo bank cards, and payment with Visa and Mastercard cards is not available; if the Payment Organisation adds other payment methods, they will be shown on the Rahmat Page. Card details are entered only on the Rahmat Page; the Operator does not receive or store them (see the Privacy Policy). A payment is deemed made when the Payment Organisation confirms it as successful; once the Operator receives that confirmation, the top-up amount is credited to the Balance automatically, without separate confirmation by the Operator. A single top-up may not be less than the minimum amount set by the Operator and shown in the App (which is not less than 1,000 soum) or more than 50,000,000 soum; the Payment Organisation and the card-issuing bank may also apply their own limits. Clause 5.12 applies to failed, cancelled and refunded payments, and clause 5.13 to money transferred in any other way.
5.4. The Daily Fee is charged in advance for each calendar day, at the first calculation the Service makes after that day begins. The full Daily Fee is charged even if the day is used only partly or not at all. The Balance and the date until which the Service will work are shown in the App.
5.5. If the Balance is above zero when the next day begins, the full Daily Fee for that day is charged even if the Balance does not cover it, and the Service continues to work. As a result the Balance may become negative; the negative amount is Arrears.
5.6. If the Balance is zero or negative after the paid days end, the Service is suspended: during this period sales, stock receipts, debts and other records cannot be entered or changed in the App (except in the Profile and Balance sections), but data can be viewed, the existing export under clause 8.2 can be used and the Balance can be topped up.
5.7. No Daily Fee is charged for the days the Service is suspended. Money credited to the Balance is first used to cover the Arrears. If the remaining amount is above zero, the Service resumes on the day the money is credited to the Balance, and the Daily Fee is charged from that day.
5.8. Depending on the shop type, a separate fee may be set for each question to the AI Assistant and for reading a label with AI. The prices are published on the page https://buysale.uz/narxlar/, and the question price is also shown in the AI Assistant window. The question fee is charged to the Balance for each request to which the model returned an answer (even an incomplete one), and the label fee when at least one field is read from the label, including during the Trial Period and when the Balance is negative. The AI Assistant does not work while the Service is suspended.
5.9. A price increase or a new paid service is announced at least 30 calendar days before it takes effect, in an announcement in the App, in a message to the Telegram account linked to the Account and on the page https://buysale.uz/narxlar/; a price reduction may apply immediately. A price change does not affect days for which the Daily Fee has already been charged. A User who does not agree may, from the day of the announcement until 30 calendar days after the change takes effect, terminate the Contract under clause 13.1 and receive the unused Balance under clause 6.2.
5.10. Bonus funds granted by the Operator (including the bonus for inviting another shop to the Service, credited after the invited shop’s first payment) and gift days are used only to pay for the Service and are not refunded in money. The bonus for inviting another shop is not credited for payments made by the invited shop through the Rahmat Page. The electronic (fiscal) receipt required by law for a payment through the Rahmat Page is generated by the Payment Organisation through its own system; the User may request a copy of the receipt through the channels in clause 11.2. For a payment accepted in another way (clause 5.13), the receipt required by law is issued by the Operator. The Operator issues an electronic invoice (hisobvaraq-faktura) to a User that is a business entity.
5.11. For each top-up through the Rahmat Page, the User pays a payment commission of 1 percent of the top-up amount (the Payment Commission). The Payment Commission is paid on top of the top-up amount and is not credited to the Balance: for example, to top up the Balance by 100,000 soum, 101,000 soum is paid. The top-up amount, the Payment Commission (rounded to a whole soum) and the total amount payable are shown in the App before the User goes to the Rahmat Page, and exactly that total is paid on the Rahmat Page. The Payment Commission is charged for accepting the payment and is not refunded once the payment has been made, except where the Payment Organisation has cancelled or refunded the payment in full, and in the case provided for in clause 5.12.
5.12. If the Payment Organisation rejects or cancels a payment, the User does not complete the payment or cancels it in the App, or the payment link expires (after 24 hours), the Balance is not topped up; if money was debited from the card, the Payment Organisation and the card-issuing bank return it to the card under their own rules. If the amount paid does not match the total shown in the App, or the payment is confirmed after the payment link has expired or after the payment was cancelled, the payment is not credited to the Balance and the money is returned to the card. If the Payment Organisation has confirmed a payment as successful but it was not credited to the Balance and the money was not returned to the card, the User contacts the Operator through the channels in clause 11.2, and the Operator, after checking, credits the top-up amount to the Balance or, at the User’s choice, refunds the amount actually paid under clause 6.5. If a payment credited to the Balance is later refunded or cancelled by the Payment Organisation (including at the request of the User, the cardholder or the card-issuing bank), the full amount credited for that payment is deducted from the Balance (the Payment Commission is not deducted, as it was never credited to the Balance); an amount refunded by the Operator under section 6 is deducted from the Balance only once. As a result the Balance may become negative; the negative amount is Arrears, and clauses 5.6 and 5.7 apply.
5.13. While payment through the Rahmat Page is available in the App, transferring money to the Operator’s bank card or account and sending a payment receipt through the App is not a way of topping up the Balance: money transferred during that time to the Operator’s details (including the card previously shown in the App) other than through the Rahmat Page is not credited to the Balance and, on the User’s application under clause 6.5, is returned in full to the card or account from which it was transferred. If the Operator temporarily suspends payment through the Rahmat Page, the App shows the Operator’s bank card: the User transfers money to it and sends the amount transferred and a photo of the payment receipt through the App; the funds are credited to the Balance after the Operator checks and confirms them, and if they are rejected, the reason is shown in the App. No Payment Commission is charged for such a payment, and the User pays the bank’s fee for the transfer. Payment receipts sent through the App before the effective date of this version and not reviewed by that date are reviewed under the terms of the previous version of the Offer.
6. Refunds
6.1. Money paid to the Balance is an advance payment for the Service; the unused Balance is refunded under clauses 6.2 and 6.4. The Daily Fee and AI fees charged to the Balance are payment for services provided and are not refunded, except in the cases provided for in clauses 4.4, 6.3, 11.1 and 14.4. The Payment Commission is not credited to the Balance and is not refunded except in the cases stated in clause 5.11.
6.2. While the Contract is in force, the User may, within 14 calendar days from the day a top-up is credited to the Balance, demand a refund of the unused part of that top-up. The refund may not exceed the top-up amount or the Balance on the day of the application (after any Arrears are covered). Charges are covered from the Balance in this order: first bonus funds, then the earliest confirmed top-up. When the Contract ends (clauses 13.1, 13.2, 13.4, 13.5 and 14.4), the Balance unused on the day it ends is refunded regardless of the 14-day period; the unused part of bonus funds is not refunded (clause 5.10).
6.3. The following are also refunded: 1) any amount charged to the Balance by mistake, which is restored to the Balance or, at the User’s demand, refunded in money; 2) the Daily Fee charged for the days referred to in clauses 4.4, 11.1 and 14.4, in the manner set out in those clauses.
6.4. If the Operator terminates the Contract under clause 13.4, the unused Balance is still refunded under clause 6.2. The Operator’s claim for damages may be deducted from the refund only in the amount the User has acknowledged in writing or a court decision has confirmed.
6.5. A refund application is sent from the Telegram account linked to the Account to https://t.me/arabicone_admin or to the e-mail address [email protected]. The application states the Account phone number, the amount to be refunded and the card (for a payment through the Rahmat Page, the masked card number shown in the payment entry in the Balance section of the App) or account from which payment was made. The Operator refunds the money within 10 business days from the day the application is received. A payment made through the Rahmat Page is, where possible, refunded through the Payment Organisation, and such a refund is made only for the full amount of the payment; for a partial refund, where a refund through the Payment Organisation is not possible, and for a payment made in another way, the money is transferred to the card or account from which payment was made or to a card or account that belongs to the User and is stated in the application. The time it takes for the money to reach the card also depends on the card-issuing bank. The Operator bears the cost of the refund.
7. Rights and obligations of the Operator
7.1. The Operator: 1) provides access to the Service; 2) publishes the Offer, the Privacy Policy and prices on the website https://buysale.uz and gives advance notice of changes under clause 5.9 and section 14; 3) credits the top-up amount of a payment confirmed by the Payment Organisation to the Balance under clause 5.3, shows the Payment Commission in the App before payment (clause 5.11) and, in the cases provided for in clause 5.13, checks payment receipts and credits the funds to the Balance or states the reason for rejection; 4) does not disclose data beyond what is stated in clauses 9.2 and 9.4 and takes the protection measures required by law; 5) makes refunds under section 6; 6) issues payment documents under clause 5.10; 7) replies to requests within the periods set by law, and to claims within the period in clause 15.1.
7.2. The Operator may: 1) demand payment for the Service and compliance with the terms of the Contract; 2) change the Service, prices and the Offer under clauses 3.5 and 5.9 and section 14; 3) suspend the Service under clause 5.6 and restrict the Account under clause 4.4; 4) request information confirming who the Account belongs to and confirming payment; 5) use services of third parties (server, network, AI, Telegram) under clause 9.4; 6) terminate the Contract under section 13.
8. Rights and obligations of the User
8.1. The User: 1) pays for the Service and covers any Arrears; 2) is responsible for the accuracy and lawfulness of the data entered; 3) records only lawful goods and holds the permits required for its business; 4) independently fulfils its tax, fiscal and accounting obligations, including issuing fiscal receipts; 5) informs Customers and Employees under clause 9.3; 6) keeps one-time codes and PIN codes secret (clause 4.3); 7) does not decompile or reverse engineer the program, does not bypass its protection and does not gain unauthorised access to other Users’ data; 8) does not send the Service automated requests that overload it or malicious software; 9) does not use the Service or the Bot for spam, fraud or other unlawful purposes; 10) does not give another person access to the Account without the Operator’s consent (except giving Employees PIN-code login); 11) selects in the Account the shop type that matches its business.
8.2. The User may: use the Service; add Employees and give them permissions; use the export available in the Service (as of the effective date of this version: sales report and expenses in CSV format, stock in XLSX format); contact support; not use the AI Assistant (clause 10.3); demand refunds under section 6; terminate the Contract at any time under clause 13.1. Regularly saving important data with the available export is recommended.
9. Data of Customers, suppliers and Employees
9.1. The User enters into the Service the data of Customers (name, phone number, debt, purchases), suppliers and Employees and decides the purpose and period of their processing. Within the meaning of the Law of the Republic of Uzbekistan “On Personal Data” (the Law on Personal Data), for these data the User is the owner and operator of the personal database, and the Operator is the person to whom the User has entrusted their processing. The Operator processes the User’s own data under the Privacy Policy.
9.2. The Operator processes these data on the User’s instructions only to provide the Service (storage, display, reports, preparing AI Assistant answers, sending the messages referred to in clause 3.4 to a Customer connected to the Bot) (Law on Personal Data, article 31, part three). The Operator does not sell these data, does not use them for advertising and does not give them to third parties other than the service providers listed in clause 9.4 and in cases established by law.
9.3. The User guarantees that: the data were obtained lawfully; Customers and Employees have been notified in writing, in accordance with article 23, parts one and two, of the Law on Personal Data, that their data are entered in the database, of the purposes of processing, of the transfer of the data to the third parties listed in clause 9.4, including abroad, and of their rights under article 30 of that Law; their consent has been obtained where required; and no special personal data are entered in the Service.
9.4. The Operator takes the protection measures required by law and informs the User as soon as possible if data are disclosed without authorisation. The database and uploaded files are stored on a server located in the Republic of Uzbekistan. To provide the Service, data are processed by: Cloudflare, Inc. (USA), through whose network all connections to the Service pass; Telegram, for login codes, reports, receipts and messages sent through the Bot; and Anthropic PBC (USA), for requests to the AI Assistant (clause 10.3). The full list of these providers and their countries is given in the Privacy Policy; the list may be extended only in the manner set out in section 14.
9.5. Persons acting on behalf of the Operator access Account data only for the purposes and in the manner set out in the Privacy Policy.
9.6. The App shows an automatic trust label for a Customer based on the Customer’s payment record (for example, “Reliable”, “Be careful”, “Risky”, “New customer”). The label is calculated only from the data of that Account, is not stored and is not shown to other Users. It is for guidance only: the User alone decides whether to sell to a Customer on credit and is responsible for that decision.
9.7. A Customer, supplier or Employee sends any request about his or her data (access, correction, deletion, stopping processing) to the User, and the User handles it within the period set by law. If such a request reaches the Operator, the Operator forwards it to the User in the manner set out in clause 11.3 and assists the User if the User cannot fulfil it with the tools of the Service.
10. AI Assistant
10.1. Use of the AI Assistant is not mandatory (see clause 10.3). Its answers and the information it reads from photos or labels may be wrong; the User checks important figures and makes decisions independently. An AI answer is not a guarantee of the Operator and is not legal, tax or financial advice.
10.2. The AI Assistant does not change a selling price on its own: it prepares a proposal, the price changes only after the User or an Employee with permission confirms it, and the previous price can then be restored. Stock receipts read from a photo are also recorded only after confirmation. The AI Assistant performs the following actions immediately on request, without separate confirmation: setting or removing a discount of 0 to 90 percent on products (the discount immediately affects the price at the cash register), undoing the last price change made by the AI, and sending prepared text to the User’s own Telegram account. The User checks the result. An Employee may perform data-changing actions through the AI only with a separate permission granted by the User.
10.3. When the AI Assistant is used, the data needed for an answer (the question, photos, the conversation history and the relevant Account data, including names, phone numbers and debts of Customers and suppliers, and Employee figures) are transferred to Anthropic PBC, a company located in the USA. A message the User sends to the Bot is also passed to the AI Assistant, and a fee is charged for it under clause 5.8, if it ends with a question mark, starts with the /savol or /ai command, is written as a reply to a Bot message, or is not recognised as a debt entry. Before using the AI Assistant, the User informs Customers and Employees of this transfer under clause 9.3. More details are in the Privacy Policy. A User who does not agree to this transfer must not use the AI Assistant or send the Bot the messages described above.
10.4. A daily limit on the number of requests and limits on the number and size of photos apply to the AI Assistant; fees for requests are charged under clause 5.8. If the AI Assistant does not work for technical reasons, the Daily Fee is not reduced. The chat assistant on the website https://buysale.uz answers only from the information on the website pages, has no access to Accounts, and its answers do not change the terms of the Offer; questions put to it are stored under the Privacy Policy.
11. Operation and support
11.1. The Operator takes reasonable measures for stable operation of the Service but does not guarantee uninterrupted operation or any particular availability. During technical works the Service may be temporarily unavailable; where possible, this is announced in advance. The Daily Fee charged for calendar days during which the Service did not work at all through the Operator’s fault is returned to the Balance at the User’s request.
11.2. Support: Telegram — https://t.me/arabicone_admin; phone — +998 91 267 06 06, +998 93 922 88 89; e-mail — [email protected]. Persons acting on behalf of the Operator never ask for a one-time login code or a PIN code.
11.3. The Operator publishes general notices as an announcement or in the acceptance window in the App, and sends personal notices in writing to the Telegram account linked to the Account through the Bot or the account https://t.me/arabicone_admin. A general notice is deemed delivered on the day it is placed in the App, and a personal Telegram message on the day it is sent. A phone call does not replace a written notice. The User writes to the Operator through the channels in clause 11.2 or to the postal address Xorazm viloyati, Urganch shahri, Tozabog’ MFY, Obodlik ko’chasi, 27-uy, 11-xonadon.
12. Liability
12.1. The parties are liable in accordance with the law and the Offer. The Operator is liable only for actual damage caused through its fault and is not liable for lost profit or indirect losses.
12.2. The Operator’s total liability does not exceed the amount charged to the Balance as payment for the Service during the 3 months before the day the damage was caused or, if that amount is lower, 90 times the Daily Fee published for the User’s shop type on the page https://buysale.uz/narxlar/. This limit does not apply to intentional breach of an obligation (Civil Code, article 333, part four), to other cases where limiting liability is prohibited by law, or to refunds under section 6.
12.3. The Operator is not liable for: 1) incorrect data entered by the User or Employees and decisions made on the basis of such data; 2) actions of Employees; 3) disclosure of a one-time code or PIN code, or use of the User’s Telegram account by another person, through the User’s fault; 4) the User’s performance of its tax, fiscal and licensing obligations; 5) disputes between the User and its Customers, Employees or suppliers; 6) failures of the internet, power supply, Telegram, a device or a printer not caused through the Operator’s fault; 7) decisions made on the basis of an unchecked AI Assistant answer; 8) the quantities entered in a stock transfer and the actual presence, storage and transport of the goods (clause 3.8); 9) decisions made on the basis of Employees’ indicators and bonus amounts, and settlements with Employees (clause 3.9).
12.4. The User is liable for damage caused to the Operator or third parties by a breach of the Offer or by unlawful use of the Service, including the data of Customers and Employees.
12.5. The parties are not liable for failure to perform obligations due to force majeure (natural disaster, fire, war, mass riots, decisions of state authorities, large-scale internet or power outages) and notify each other as soon as possible. Such circumstances do not release a party from paying for services provided before they arose.
13. Term, suspension and termination
13.1. The Contract takes effect at the moment of Acceptance and has no fixed term. The User may terminate the Contract at any time by sending the Operator a written (electronic) notice through the channels in clause 11.2. The Contract ends on the day after the day the Operator receives the notice; from that day no Daily Fee is charged, and the unused Balance is refunded under clause 6.2. Not using the Service does not terminate the Contract.
13.2. The User may request in writing, through the channels in clause 11.2, that the Account and data be deleted; after checking that the Account belongs to the person making the request, the Operator deletes them within 30 calendar days, except the records referred to in clause 13.3 and backup copies kept until the end of the period stated in the Privacy Policy. If for 6 months from the day the Service was suspended there has been no top-up of the Balance and no login to the Account, the Operator may treat the Contract as terminated and delete the Account together with its data. The Operator gives warning of this at least 30 calendar days before deletion in the manner set out in clause 11.3. If the User logs in to the Account or tops up the Balance within those 30 days, the Account is not deleted.
13.3. Before deletion, including while the Service is suspended, the User may use the existing export under clause 8.2; as of the effective date of this version, the lists of Customers, debts, suppliers and Employees cannot be exported from the App. Data that must be kept by law (acceptance records, payment documents) are kept after the Account is deleted for the period set by law, and the record of the deleted shop (name, phone number) for the period stated in the Privacy Policy.
13.4. If the User materially breaches the Contract (breach of sub-clauses 3 and 7–10 of clause 8.1, fraud, submitting a forged payment document), the Operator may terminate the Contract unilaterally once at least 10 calendar days have passed since it sent, in the manner set out in clause 11.3, a notice describing the breach. If the User remedies the breach within that period, the Contract is not terminated. In case of unlawful use or a risk of serious harm, the Account may be restricted immediately under clause 4.4.
13.5. At least 30 calendar days before discontinuing the Service entirely, the Operator notifies the User in the manner set out in clause 11.3, keeps the existing export (clause 8.2) available during that period and refunds the unused Balance under clause 6.2. When the Contract ends, Arrears and other obligations that arose while the Contract was in force remain.
14. Changes to the Offer
14.1. The Operator changes the Offer unilaterally only in the manner set out in this section (Civil Code, article 237); each version of the Offer is published on the website https://buysale.uz with its version number and effective date.
14.2. Material changes (price, payment and refunds, liability, use of data and its transfer to third parties, dispute resolution, core features, restriction of the User’s rights) are announced at least 30 calendar days before they take effect, in an announcement in the App, in a message to the Telegram account linked to the Account and on the website https://buysale.uz; until they take effect, the current version applies.
14.3. From the publication of a new version until its effective date, the App offers to accept it, and the User may postpone Acceptance until the effective date. Once the new version takes effect, the User accepts it in the manner set out in sub-clause 1 of clause 2.2; until it is accepted, use of the App may be restricted.
14.4. A User who does not agree with a new version may terminate the Contract under clause 13.1 at any time from the day the version is published until 30 calendar days after it takes effect. In that case the unused Balance is refunded under clause 6.2, and the Daily Fee charged for days after the new version took effect on which the User had not accepted it is refunded in full.
14.5. Corrections of spelling errors, changes of contact details, address or bank details, and clarifications that do not restrict the User’s rights do not require new Acceptance and take effect on the day they are published on the website https://buysale.uz.
15. Disputes
15.1. The pre-trial claim procedure is mandatory. The User sends a claim to the postal address Xorazm viloyati, Urganch shahri, Tozabog’ MFY, Obodlik ko’chasi, 27-uy, 11-xonadon or the e-mail address [email protected]; the Operator sends a claim in writing to the Telegram account linked to the Account or to the e-mail or postal address given by the User. A claim states the date, the demand, its grounds, the amount and its calculation, evidence, payment details and a contact phone number. A claim is answered within 15 calendar days from the day it is received.
15.2. If a claim is not answered within the period in clause 15.1 or is rejected, the dispute is heard: where the User is a legal entity or an individual entrepreneur, by the economic court at the Operator’s location; where the User is a self-employed person, by the court determined by law. The Contract is governed by the law of the Republic of Uzbekistan. The Contract is deemed concluded in Urgench.
